Terms of Service

1. Who May Use the Platform

The Platform is intended for adults (18+) and authorised professional or institutional users. By accepting these Terms you confirm you are at least 18 years old and, if acting for a legal entity, that you have authority to bind that entity. We may restrict access in territories where the service cannot legally be offered.

2. Account Registration

You must provide accurate, current and complete registration information and keep it up to date. You are responsible for maintaining the security of your credentials and for all activity under your account. Account sharing is prohibited. Notify us immediately at hfh@healthfundhub.com if you suspect unauthorised use. We may require verification of identity, credentials or authority at any time.

3. User Roles and Access

The Platform supports several roles including Investors/Funders, Institutional Recipients, Individual Recipients and Experts. Your role determines which features and data you can access. Role-level permissions are enforced by our security middleware. Role misrepresentation is a material breach of these Terms.

4. Identity and Eligibility Verification (KYC)

We may conduct know-your-customer, identity, eligibility and credential checks using third-party providers, document review or other means. Submission of accurate information is mandatory. Providing false information is a serious breach. We may restrict or suspend access while verification is pending or if verification fails.

5. Platform Purpose and Limitations

The Platform is a technology service for health-sector funding discovery, matching, communication and application management. We do not provide funding, grants, medical advice, legal advice, financial advice or guarantee any outcome. We do not verify all claims made by users and make no warranty about the accuracy of user-submitted information.

6. Opportunities and Applications

Funders post opportunities on the Platform. We do not create or endorse them and do not guarantee their accuracy, availability or suitability. Applicants are responsible for verifying eligibility and submitting accurate applications. We do not represent that any application will succeed.

7. Matching, Recommendations and Automated Tools

The Platform may use algorithms or artificial intelligence to categorize information, recommend matches, summarize material or assist with applications. Outputs may be incomplete, inaccurate or unsuitable and must be independently checked before use or submission. You must disclose AI-assisted content when a funder, institution or applicable law requires it. We do not guarantee that a recommendation is suitable, that a match will respond, proceed or fund a project, or that suggested content is accurate, complete or original.

8. User Submissions and Licence

“User Content” includes profiles, project information, funding requirements, messages, documents, logos and application materials submitted through the Platform. You retain ownership.

You grant HealthFund Hub a non-exclusive, worldwide, royalty-free licence to host, copy, process, format, adapt and display User Content only as reasonably necessary to operate and secure the Platform, provide requested features, facilitate authorized matching, support users, prevent misuse, comply with law and improve the Platform using aggregated or de-identified information where permitted.

You represent that you own or may submit the content, it is accurate and not misleading, and its use does not violate confidentiality, privacy, intellectual-property or other rights.

9. Visibility and Confidentiality

You control available visibility settings. Unless agreed separately in writing, use of the Platform does not create a non-disclosure agreement, and HealthFund Hub is not a confidentiality adviser or escrow agent. Do not upload trade secrets or highly sensitive material without appropriate contractual and technical protection. Users receiving non-public project information may use it only to evaluate or facilitate the relevant opportunity.

10. Health and Sensitive Information

The Platform concerns health-sector funding but is not intended to provide medical care or store patient records unless expressly agreed in writing. Do not upload identifiable patient information, medical records, protected health information, genetic or biometric information or other highly sensitive data unless an expressly designated feature permits it and all legal, security and contractual requirements are satisfied.

11. Communications

Use Platform communications professionally and only for legitimate Platform purposes. Do not send unsolicited mass messages, contact someone after being asked to stop, misrepresent intentions, request unnecessary sensitive information, harass or discriminate, or use contact details for unrelated marketing without valid permission.

12. User-to-User Relationships

Users are solely responsible for due diligence before any funding, advisory, employment, consulting or other relationship. HealthFund Hub does not control user conduct outside the Platform, funding decisions, external contracts, transfers or use of funds, tax consequences or performance of user agreements. Obtain independent legal, financial, tax and professional advice.

13. Fees, Subscriptions and Payments

Prices, billing periods and material payment terms are shown before purchase. Unless stated otherwise at checkout, charges are in USD, applicable taxes may be added, subscriptions renew until cancelled, cancellation takes effect at the end of the current paid period, and paid fees are non-refundable except where law or an express refund policy requires otherwise.

14. Acceptable Use

You must not use the Platform to:

• Violate law, sanctions or third-party rights;
• Submit fraudulent or materially misleading information;
• Impersonate a person or organisation or misrepresent funding, credentials or authority;
• Infringe intellectual-property, privacy or confidentiality rights;
• Harass, threaten, discriminate against or exploit another person;
• Transmit malware or interfere with Platform security or availability;
• Probe vulnerabilities without written authorisation or circumvent access controls;
• Scrape or automatically extract data except as expressly permitted;
• Reverse engineer except where the restriction is unlawful;
• Evade suspension, send spam or commercially redistribute Platform data;
• Facilitate money laundering, bribery, corruption, sanctions evasion or financial crime.

15. HealthFund Hub Intellectual Property

The Platform, software, interface, databases, branding and original content belong to HealthFund Hub or its licensors. We grant a limited, non-exclusive, non-transferable and revocable right to use the Platform for its intended purpose. No other rights are granted. Feedback may be used without restriction or compensation.

16. Third-Party Services

Links, integrations and information from third parties are governed by their own terms and privacy notices. We do not control or endorse them and are not responsible for their content, availability, security or practices.

17. Privacy

Our Privacy Policy describes how we process personal data and forms part of these Terms. Users processing personal data obtained through the Platform are independently responsible for applicable privacy law.

18. Monitoring and Enforcement

We are not required to monitor all activity or verify all content. Where lawful and reasonably necessary, we may investigate suspected violations, restrict content or features, request supporting documents, preserve evidence, cooperate with lawful investigations and report suspected illegal activity.

19. Suspension and Termination

You may close your account at any time via your account settings. We may restrict, suspend or terminate access for material or repeated breach, suspected fraud, security or legal risk, overdue payment, legal compulsion or inability to continue the service. Where appropriate and lawful, we will give notice and a reasonable opportunity to respond.

20. Availability

We aim to provide a reliable Platform but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, incidents, third-party failures or events beyond our control may interrupt access.

21. Disclaimers

To the fullest extent permitted by law, the Platform is provided “as available.” We do not warrant that information is complete, current or error-free; that users or opportunities are genuine or suitable; that matches will produce funding; or that access will always be uninterrupted or secure. Mandatory warranties and consumer rights remain unaffected.

22. Limitation of Liability

To the fullest extent permitted by applicable law, HealthFund Hub's total cumulative liability for any claims arising out of or related to these Terms or the Platform will not exceed the greater of the amounts you paid us in the twelve months before the claim or USD 100. We will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages. Some jurisdictions do not allow these exclusions; mandatory statutory rights remain unaffected.

23. Indemnification

You agree to defend, indemnify and hold harmless HealthFund Hub, its affiliates, officers, employees, agents and licensors from claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Platform, violation of these Terms, or infringement of third-party rights.

24. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which HealthFund Hub is incorporated, without regard to conflict-of-law principles. For users in the EEA or UK, mandatory local consumer protections apply. We encourage you to contact us first at hfh@healthfundhub.com to resolve disputes informally before commencing formal proceedings.

25. Changes to These Terms

We may update these Terms from time to time. We will post the revised version with an updated date. Material changes receive additional notice where required. Continued use after changes become effective constitutes acceptance of the revised Terms.
